Between (Your Event Partner-YEP) & Vendor
1. Purpose
This Vendor Agreement Policy (MOU) establishes the terms and conditions under which vendors will provide their services to events managed by Your Event Partner- “YEP”).
2. Engagement Terms
- The vendor agrees to provide the specified services to YEP-managed events in accordance with agreed timelines and standards.
- The vendor will act solely on behalf of YEP and will not directly engage with clients, sponsors, or third parties without written approval from YEP.
Additional Clause: Non-Compete Agreement
- Vendors are not permitted to approach or work directly with YEP clients for independent projects, either during the course of this engagement or for a period of 6 months post-event, without prior written consent from YEP.
3. Payment Structure
- A token/advance payment will be made prior to the event. The remaining payment shall be made after successful completion of the event and satisfactory review of the vendor’s services.
- Any financial penalty or deduction imposed by the client or sponsor due to poor service, quality issues, or vendor misconduct shall be borne solely by the vendor.
4. Vendor Conduct and Responsibilities
- Vendors must ensure professional behavior and decorum during the event.
- Vendors are responsible for the security, safety, and quality of the services or products they deliver.
- Any misconduct, delays, damages, or failure in service shall be the full responsibility of the vendor.
5. Quality Assurance
- All materials, manpower, and services must adhere to quality standards pre-approved by YEP.
- YEP reserves the right to reject or demand replacement for any service or product not meeting expected standards.
6. Communication Protocol
- The vendor shall not communicate or negotiate directly with the event client, sponsor, or guests under any circumstances.
- All communications shall be routed through YEP representatives.
7. Branding and Representation
- Vendors are prohibited from using their personal/company branding (name, logo, cards, banners, etc.) at the event site or during any part of the event.
- All vendors shall operate under the YEP brand only for the duration of the engagement.
- Vendors are not permitted to promote their services or solicit business at YEP events.
8. Legal Compliance
- This agreement shall be governed by the laws of India.
- All legal disputes or matters arising out of this agreement shall be subject to jurisdiction in Gurgaon, Haryana only.
9. Confidentiality
- Vendors must maintain confidentiality of all information related to the event, client, sponsor, and YEP operations.
- Any breach of confidentiality may lead to immediate termination and legal action.
10. Acceptance & Execution
By signing below, both parties agree to the terms of this Vendor Agreement Policy and accept it as a binding Memorandum of Understanding (MOU).
- Cancellation & Termination
- YEP reserves the right to terminate the agreement if the vendor fails to meet agreed timelines, quality standards, or any other terms of this policy.
- If the vendor cancels their participation after confirmation, any advance payment may be forfeited, and YEP reserves the right to claim compensation for damages or additional costs incurred.
- Force Majeure
- Neither party shall be held liable for non-performance or delays caused by circumstances beyond their reasonable control (e.g., natural disasters, strikes, pandemics, government restrictions).
- In such cases, both parties will work together to minimize impact and agree on revised timelines or settlements.
- Indemnity
- The vendor shall indemnify and hold harmless YEP, its employees, and clients against any claims, damages, or liabilities arising from the vendor’s actions, negligence, or breach of this agreement.
